Preamble
VerifAge is a French age-verification solution published by SAS INOVA DIGI-TECH, a simplified joint-stock company under French law (société par actions simplifiée), whose registered office is located at 16 rue de la Côte – Bâtiment D1 – 54000 Nancy, registered with the Nancy Trade and Companies Register (RCS) under number 918 907 809, SIRET 918 907 809 00027 (hereinafter “INOVA DIGI-TECH”).
VerifAge enables any person of legal age to have their age verified once only, and then to prove that they are of legal age to partner websites, vending machines and points of sale, without disclosing their identity.
These Terms of Use (hereinafter the “Terms”) comprise:
- a general part applicable to every person using VerifAge (Part I);
- commercial terms applicable to Business accounts only (Part II);
- a price schedule.
Part I – General terms
Article 1 – Definitions
- “VerifAge”: the website verifage.com, the platform app.verifage.com, the VerifAge mobile application (iOS and Android), the API and the associated modules.
- “User”: any natural person of legal age who holds a VerifAge account in order to prove that they are of legal age.
- “Verified account”: the account of a User whose legal age has been confirmed using one of the validation methods described in Article 6.
- “Business customer”: any legal person or natural person acting for professional purposes who integrates VerifAge on a website or a vending machine, or who uses an Operator account.
- “Operator account”: a business account allocated to a point of sale (for example a tobacconist) that makes it possible to verify that customers are of legal age and to validate User accounts.
- “Operator”: an authorised person, employed or appointed by INOVA DIGI-TECH or by the holder of an Operator account, responsible for checking and validating User accounts.
- “Integration point”: a website or a vending machine on which VerifAge is activated.
- “Token”: a unit of consumption corresponding to one attempt to verify legal age.
- “Attempt”: any verification request sent to VerifAge from an Integration point (scanning of a QR code, entry of a code, use of a token or any other means), whatever its outcome.
Article 2 – Purpose and scope
The Terms define the conditions of access to and use of VerifAge. They apply to every person who creates an account or uses VerifAge, whatever the medium used.
Article 3 – Acceptance
The creation of an account implies full and unreserved acceptance of the Terms, evidenced by a tick box. The applicable Terms are those in force on the date the service is used. They remain available for consultation at any time from VerifAge.
Article 4 – Conditions of access
4.1 VerifAge is reserved for persons aged at least 18 years. Any attempt at registration by a minor is refused.
4.2 An account is strictly personal. One and the same person may hold only one User account.
4.3 The User must have a compatible smartphone, an internet connection, a valid e-mail address and a valid telephone number.
4.4 The use of VerifAge is free of charge for the User. Connection costs remain at the User’s expense.
Article 5 – Account creation
5.1 To create an account, the User provides only:
- their e-mail address;
- their telephone number;
- their date of birth.
VerifAge asks neither for the User’s surname nor for their first name.
5.2 The e-mail address and the telephone number are confirmed by single-use codes valid for 15 minutes.
5.3 The User warrants that the information provided is accurate and undertakes to keep it up to date.
5.4 The User is solely responsible for the confidentiality of their login details and for access to their telephone. Any use of their account is deemed to have been made by them.
Article 6 – Age validation
Age validation is carried out once only. The User freely chooses one of the following methods and may opt for another method at any time.
6.1 Method 1 – Verification by video
The User records a short video of their face and photographs their identity document from the application. An automated analysis by artificial intelligence compares the face with the photograph on the document and checks the age. A human Operator then systematically examines the file and makes the final decision. The video and the photograph of the identity document are deleted as soon as the Operator has made a decision, and at the latest 15 days after they are sent.
6.2 Method 2 – Verification at an approved Operator
The User presents themselves in person at a point of sale holding an Operator account. The Operator visually checks their identity document and validates the account by scanning the registration QR code displayed in the application. No copy of the identity document is made.
6.3 Method 3 – France Identité
The User proves that they are of legal age by means of the official France Identité application. VerifAge receives only the attestation that the User is over 18 years of age, without any other identity data.
6.4 Method 4 – Pre-registered e-mail address or telephone number
Where an Operator has previously checked that a person is of legal age, the Operator may register that person’s e-mail address or telephone number in VerifAge. The User concerned then chooses this method and receives a confirmation code valid for 15 minutes. Validation takes place only once the User has entered this code.
6.5 INOVA DIGI-TECH may request a new verification at any time where there is doubt as to the accuracy of a validation.
Article 7 – Proving legal age
Once their account has been verified, the User proves that they are of legal age to Integration points and partner points of sale in one of the following ways:
- by scanning the QR code displayed by the website or the vending machine;
- by entering the code displayed;
- by having their own QR code, renewed every 30 seconds, scanned by an Operator or a reader;
- by generating a token to be copied and pasted into the website or application that requests it.
The Integration point receives only the information that the User is of legal age. VerifAge communicates to it neither the User’s date of birth, nor their e-mail address, nor their telephone number, and keeps no history of the places, websites or vending machines where the User has proved that they are of legal age.
Article 8 – Obligations of the User
The User undertakes to:
- use VerifAge for their own personal use only;
- never share their account, codes, QR codes or tokens with a third party, in particular a minor;
- provide only authentic, valid documents belonging to them;
- not attempt to circumvent, disrupt or misuse the operation of VerifAge;
- report any fraudulent use of their account without delay to contact@verifage.com.
Article 9 – Refusal, suspension and deletion of the account
9.1 INOVA DIGI-TECH may refuse validation, or suspend or delete an account, in particular in the following cases:
- illegible, incomplete or expired document;
- face not matching the identity document;
- User who is a minor;
- forged document, identity theft or attempted fraud;
- sharing of the account, codes, QR codes or tokens with a third party;
- abusive use or use contrary to the Terms or to the law.
9.2 The decision is notified by e-mail together with its reason.
9.3 The User may contest the decision by writing to contact@verifage.com. Their request gives rise to a fresh examination by an Operator.
9.4 The User may delete their account at any time from the application or by e-mail to contact@verifage.com.
Article 10 – Availability of the service
INOVA DIGI-TECH endeavours to ensure access to VerifAge 24 hours a day, 7 days a week, without any guarantee of continuity or response time. Access may be interrupted in particular for maintenance, updates, technical incidents, force majeure or the failure of a service provider. Such interruptions give no entitlement to any compensation.
Article 11 – Liability
11.1 INOVA DIGI-TECH is bound by a best-efforts obligation (obligation de moyens). As no verification method is infallible, INOVA DIGI-TECH does not guarantee the complete absence of error or fraud, in particular in the event of a forged document, inaccurate documents or information provided by the User, or account sharing.
11.2 INOVA DIGI-TECH is not liable for:
- the use made by the User of the products or services to which they gain access through VerifAge;
- damage resulting from a breach of the Terms by the User;
- the content, products and practices of Integration points and third-party websites;
- malfunctions relating to the User’s hardware, connection or operating system.
11.3 For a User acting as a consumer, these limitations apply within the limits permitted by the French Consumer Code (Code de la consommation). They do not apply in the event of gross negligence or wilful misconduct on the part of INOVA DIGI-TECH.
11.4 The limitations of liability applicable to Business customers are set out in Article 20.
Article 12 – Intellectual property
VerifAge, its software, its API, its modules, its trade mark, its logo and its content are the exclusive property of INOVA DIGI-TECH or are licensed to it. INOVA DIGI-TECH grants the User and the Business customer a personal, non-exclusive, non-transferable and revocable right of use, limited to the duration of use of the service. Any other use, reproduction, decompilation or reverse engineering is prohibited.
Article 13 – Personal data
The processing of personal data is described in the Privacy policy and on the GDPR compliance page. Data protection officer: dpo@verifage.com.
Article 14 – Force majeure
INOVA DIGI-TECH shall not be held liable for a breach resulting from an event of force majeure within the meaning of Article 1218 of the French Civil Code (Code civil), including the failure of telecommunications networks, of a hosting provider or of a technical service provider, a cyberattack or a decision of a public authority.
Article 15 – Amendment of the Terms
INOVA DIGI-TECH may amend the Terms at any time. Users and Business customers are informed of any substantial amendment by e-mail or by a notification in VerifAge at least 30 days before it comes into force. Continued use of the service after that date constitutes acceptance of the new Terms.
Part II – Commercial terms for Business accounts
Article 16 – Purpose and acceptance
This Part applies, in addition to Part I, to Business customers. Subscribing to a subscription constitutes acceptance of the Terms in their entirety and of the price schedule. The Business customer declares that it is acting for the purposes of its professional activity. The provisions of the French Consumer Code (Code de la consommation) relating to the right of withdrawal do not apply to it.
Article 17 – Offers
17.1 Website and vending machine
The subscription is taken out per Integration point. Each website and each vending machine is the subject of a separate subscription, including a monthly quota of tokens specific to that Integration point. Tokens are neither shareable between Integration points, nor transferable, nor refundable.
17.2 Operator account
The Operator account is taken out per point of sale. It makes it possible to verify that customers are of legal age by scanning their QR code, to validate User accounts (methods 2 and 4) and to create accounts.
17.3 Additional services
INOVA DIGI-TECH offers integration-assistance and compliance-audit-assistance services, provided on the basis of an accepted quotation.
Article 18 – Consumption of tokens
18.1 Each Attempt consumes one token, whatever its outcome (verification successful, refused or abandoned).
18.2 The monthly quota of tokens included in the subscription is valid for the current calendar month. Tokens not used by the end of the month are definitively lost and are neither carried over nor refunded.
18.3 Beyond the included quota, additional blocks of tokens are added automatically, without any action by the Business customer, in order to ensure the continuity of the service. Any block that has been started is payable in full.
18.4 The count of Attempts established by VerifAge is authoritative between the parties, unless proven otherwise. This count is carried out per Integration point, with no link to the identity of Users.
Article 19 – Obligations of the Business customer
19.1 The Business customer remains solely responsible for compliance with the regulations applicable to its activity, and in particular with prohibitions on sales to minors. VerifAge is a tool to assist with age verification; it does not transfer this responsibility to INOVA DIGI-TECH.
19.2 The Business customer undertakes to:
- integrate VerifAge in accordance with the technical documentation provided;
- keep its API keys and login details confidential;
- inform its own customers of the use of VerifAge;
- not use VerifAge for any purpose other than verifying legal age;
- not attempt to identify Users from the results transmitted by VerifAge.
19.3 The holder of an Operator account further undertakes to:
- entrust validation functions only to trained and authorised persons;
- check the identity document in the physical presence of the person, with care and in good faith;
- register an e-mail address or a telephone number (method 4) only after having itself checked that the person concerned is of legal age, with that person’s agreement;
- make no copy, photograph or retention of identity documents.
19.4 The Business customer shall indemnify INOVA DIGI-TECH against any claim, penalty or judgment resulting from a breach of its obligations.
Article 20 – Liability towards Business customers
20.1 INOVA DIGI-TECH is bound by a best-efforts obligation (obligation de moyens). It guarantees neither that VerifAge detects all fraud, nor that the service is free from error or interruption. No service-level commitment (availability, recovery time) is given.
20.2 INOVA DIGI-TECH is not liable for indirect damage, such as loss of turnover, profit, customers, data or reputation, commercial loss, or fines or administrative or criminal penalties imposed on the Business customer.
20.3 In any event, the total liability of INOVA DIGI-TECH, all causes combined, is limited to the sums actually paid by the Business customer in respect of the Integration point or Operator account concerned during the three (3) months preceding the event giving rise to the claim.
20.4 These limitations do not apply in the event of gross negligence or wilful misconduct on the part of INOVA DIGI-TECH.
20.5 Any action for liability must be brought within one year of the event giving rise to the claim.
Article 21 – Prices
21.1 The prices are those of the price schedule in force on the day of subscription. They are stated exclusive of VAT, with VAT at the applicable rate being added.
21.2 INOVA DIGI-TECH may change its prices. Any change is notified to the Business customer at least 30 days before it applies. A Business customer who refuses the change may terminate its subscription under the conditions of Article 23.
Article 22 – Invoicing and payment
22.1 The monthly subscription and the additional blocks of tokens consumed during the month are invoiced and collected at the end of the month by SEPA direct debit. For this purpose, the Business customer signs a SEPA direct debit mandate when subscribing.
22.2 Set-up fees are invoiced on activation of the Integration point. Assistance services are invoiced on completion.
22.3 Any month that has been started is payable in full.
22.4 In the event of a rejected direct debit or late payment, late-payment penalties equal to three times the statutory interest rate, together with a fixed indemnity for recovery costs of €40 (Article L.441-10 of the French Commercial Code, Code de commerce), are payable automatically and without prior reminder, without prejudice to bank rejection charges.
22.5 Failing regularisation within 8 days of a formal notice sent by e-mail, INOVA DIGI-TECH may suspend access to the service, without such suspension releasing the Business customer from payment of the sums due.
Article 23 – Term and termination
23.1 The subscription is concluded for an indefinite term, with no minimum commitment period.
23.2 The Business customer may terminate it at any time, in writing to contact@verifage.com or from its business area, subject to a notice period of three (3) months. The subscription remains payable for the entire notice period, and any month that has been started is payable in full.
23.3 Any termination initiated by the Business customer gives rise to the invoicing of termination fees of €99 excl. VAT per Integration point or Operator account terminated.
23.4 INOVA DIGI-TECH may terminate the subscription automatically, without notice or compensation, in the event of a serious breach by the Business customer, in particular persistent non-payment, fraud, misuse of the service or a breach of the security of VerifAge. INOVA DIGI-TECH may also terminate the subscription without cause, subject to a notice period of three (3) months.
23.5 At the end of the subscription, access to the API, the module and the business area is deactivated. Sums due remain payable.
Article 24 – Confidentiality
Each party undertakes to keep confidential the non-public information obtained from the other party, in particular API keys, technical documentation and commercial terms, for the duration of the relationship and for three years after its end.
Article 25 – References
Unless it objects in writing, the Business customer authorises INOVA DIGI-TECH to mention its name and logo as a commercial reference.
Part III – Final provisions
Article 26 – Complaints and mediation
Any complaint is to be sent to contact@verifage.com or by post to SAS INOVA DIGI-TECH – 16 rue de la Côte – Bâtiment D1 – 54000 Nancy.
A User acting as a consumer may, in the absence of a satisfactory response to their written complaint, refer the matter free of charge to the consumer mediator:
- CM2C – Centre de la Médiation de la Consommation de Conciliateurs de Justice
- 49 rue de Ponthieu – 75008 Paris – https://www.cm2c.net
Mediation does not apply to disputes between professionals.
Article 27 – Governing law and jurisdiction
The Terms are governed by French law.
For disputes with a Business customer, exclusive jurisdiction is conferred on the Commercial Court of Nancy (Tribunal de commerce de Nancy), including in the event of multiple defendants or third-party proceedings.
For disputes with a consumer User, the statutory rules of jurisdiction apply.
Article 28 – Miscellaneous
If any provision of the Terms is declared void, the other provisions retain their full effect. The failure of INOVA DIGI-TECH to rely on a breach does not constitute a waiver of its right to rely on it subsequently.
